Terms of Service

These Terms of Service govern your use of manager-readiness.com and your enrollment in any Foundation First program. By accessing this website or purchasing any services, you agree to be bound by these terms. If you do not agree, please discontinue use immediately.
1. Definitions
Account: your profile, login credentials, and payment information on the Foundation First learning portal.
Â
Organizational client: any employer, firm, partnership, corporation, or other entity that enrolls participants on behalf of its employees or team members.
Â
Participant: any individual enrolled in the Foundation First program, whether self-enrolled or enrolled by an organizational client.
Â
Program: the Foundation First Core 4 Manager Readiness Program and any associated elective modules.
Â
Services: manager readiness education and professional development delivered through this website, the Foundation First learning portal, and Zoom.
Â
We, us, our: Foundation First, a division of DLC Associates Inc., operating in the Province of Ontario, Canada.

2. Age and Eligibility
You must be at least 18 years of age to use this website and purchase services. By enrolling, you confirm that you meet this requirement.
3. Organizational and Employer-Sponsored Enrollment
These Terms of Service apply to organizational clients and employer-sponsored enrollments, as well as to individual participants.

By enrolling participants on behalf of an organization, the organizational client agrees to these terms on behalf of itself and all enrolled participants. The organizational client accepts responsibility for:

Ensuring that all enrolled participants are made aware of and agree to these terms prior to enrollment

Paying all fees in accordance with the agreed invoice terms and schedule

Communicating any scheduling conflicts, participant substitutions, or cancellation requests in writing to info@manager-readiness.com with reasonable advance notice

Managing participant conduct and ensuring participants comply with the participant conduct provisions in Section 11

Maintaining the confidentiality of program materials and not distributing them outside the organization without our written consent

Participant substitutions may be accommodated at our discretion, subject to cohort availability and program stage. Substitution requests must be made in writing to info@manager-readiness.com before the relevant module begins. Substitutions are not permitted after a module has commenced.

Organizational clients enrolling through a custom proposal or private cohort arrangement will receive a separate agreement or enrollment confirmation that supplements these Terms of Service. In the event of any conflict between a custom agreement and these terms, the custom agreement will govern.

Minimum enrollment for a private organizational cohort is eight participants unless otherwise agreed in writing.
4. Intellectual Property
All content on this website and within the Foundation First program, including curriculum, frameworks, recorded sessions, written materials, assessments, tools, and any other materials, is the property of DLC Associates Inc. or its authorized contributors and is protected under the Copyright Act (R.S.C., 1985, c. C-42) and applicable international intellectual property laws.

Program materials are licensed to enrolled participants for personal, non-commercial use only. You may not reproduce, copy, distribute, sell, sublicense, share externally, or use program materials to deliver training to others without the prior written permission of DLC Associates Inc.
Â
Organizational clients may use program materials internally for the professional development of enrolled participants only. Internal use does not extend to reproduction for distribution, incorporation into other training programs, or any commercial application.
5. Permitted Use Under Copyright
Fair dealing with program materials is permitted only to the extent allowed under the Copyright Act (R.S.C., 1985, c. C-42).
6. Third-Party Links
This website may contain links to third-party platforms including the Foundation First learning portal, Zoom, ConvertKit, and Thinkific Payments. We are not responsible for the content, practices, or privacy policies of any third-party sites. Links do not constitute endorsement.
7. Accounts
To access program content, you must create an account on the Foundation First learning portal. You agree to provide accurate, truthful, and complete information and to keep your account details current.

You are solely responsible for maintaining the confidentiality of your login credentials. You agree not to share your account access with any other person. We accept no liability for any loss or damage arising from unauthorized use of your account. If you believe your account has been accessed without your authorization, contact us immediately at info@manager-readiness.com.
8. Enrollment and Payment
Enrollment in the Foundation First program is subject to available cohort space. We reserve the right to decline enrollment at our discretion.

Upon successful enrollment and payment, you will receive a confirmation email with access to the Foundation First learning portal and your cohort schedule.

All prices are listed in Canadian dollars (CAD). We reserve the right to revise pricing for future cohorts. Pricing in effect at the time of your enrollment will not be retroactively changed.

Payment is processed through Thinkific Payments. Accepted payment methods include all major credit cards. Organizational clients may be invoiced directly under separate billing arrangements.
9. Cancellation and Refund Policy
A full refund will be issued if you withdraw from the program before the refund deadline set out below. To request a refund, email info@manager-readiness.com before the applicable deadline.

Refund deadline: before the second live cohort session of Module 1.

No refunds will be issued after the refund deadline. For clarity, each of the following constitutes participation in the program for the purposes of this refund policy:

Attending any live cohort session or office hour, in person or via recording

Accessing, downloading, or viewing any recorded session, workbook, framework, or other course material through the learning portal

Submitting any assignment, reflection, or assessment within the program

Participating in the program community

If you are enrolled on a payment plan and withdraw after the refund deadline, you remain responsible for the full fee for any module already commenced.

Refunds will be processed within 10 business days to the original payment method.
Â
In exceptional circumstances, including serious illness or family emergency, we may consider enrollment deferrals or partial refunds at our sole discretion. Requests must be submitted in writing to info@manager-readiness.com.
10. Program Delivery and Attendance
Live cohort sessions and office hours are delivered via Zoom. You are responsible for having the necessary technology, internet connection, and hardware to participate.

You must attend at least one of the two live cohort sessions scheduled per module to satisfy the attendance requirement for that module. Sessions are recorded and available through the Foundation First learning portal. Recordings are made available to enrolled participants only and may not be shared outside the program.

We reserve the right to reschedule sessions in exceptional circumstances. We will provide advance notice where reasonably practicable.
11. Participant Conduct
All participants are expected to engage with the program respectfully, professionally, and in good faith. We reserve the right to suspend or terminate enrollment, without refund, if a participant engages in any of the following:

Harassment, intimidation, or threatening conduct directed at any participant, facilitator, or Foundation First personnel

Discrimination based on any protected ground under the Ontario Human Rights Code or applicable Canadian law

Breaches of confidentiality, including sharing other participants' personal disclosures, case examples, or identifying information outside the program
-
Unauthorized reproduction, distribution, or commercial use of program materials
-
Misuse of the learning portal or community platform, including spam, disruptive posting, or attempts to compromise platform security

Unlawful conduct of any kind in connection with the program
-
Any conduct that, in our reasonable judgment, is likely to damage the integrity, reputation, or safe learning environment of the Foundation First program

Determinations regarding participant conduct will be made by Foundation First in its reasonable discretion. We are not obligated to provide a hearing or appeal process before exercising our termination rights under this section.
12. Privacy and Personal Information
Your personal information is collected, used, and protected in accordance with our Privacy Policy at manager-readiness.com/privacy-policy and in compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA).
13. Email Communications and CASL Compliance
By enrolling in the program or subscribing to our communications, you consent to receive program-related and marketing communications from Foundation First in compliance with Canada's Anti-Spam Legislation (CASL). You may withdraw consent at any time by clicking the unsubscribe link in any email or contacting info@manager-readiness.com.
14. Disclaimers
Foundation First is a professional development and manager readiness program. It is not a regulated professional service. The program and all related content are provided in good faith for educational and professional development purposes only.

Foundation First does not provide, and nothing in the program should be construed as providing:

Employment advice or employment law advice

Human resources consulting or HR advisory services

Workplace investigation services or advice

Regulatory compliance advice of any kind

Mental health, counselling, or therapeutic services

Legal advice

Performance management, disciplinary, or termination advice specific to any individual or organization

Guarantees of professional advancement, promotion, or employment outcomes

Guarantees of specific results, performance improvements, or organizational outcomes

Participants are solely responsible for the decisions they make in their professional roles and workplaces. Any application of program concepts, frameworks, or content to real workplace situations is the sole responsibility of the participant. Foundation First accepts no responsibility for any employment decisions, workplace outcomes, or professional consequences arising from a participant's application of program content.
Â
Outcomes from participation in the program depend on individual engagement, effort, and application. We do not guarantee any particular result.
15. Limitation of Liability
To the maximum extent permitted by applicable Canadian law, Foundation First and DLC Associates Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of this website, your participation in the program, or your application of program content in your professional or organizational context.

Without limiting the foregoing, Foundation First and DLC Associates Inc. expressly disclaim all liability for:

Workplace disputes, grievances, or complaints arising in connection with a participant's employment

Employment decisions made by any participant or organizational client, including decisions regarding performance management, disciplinary action, demotion, or termination

Outcomes of any performance management process, whether or not influenced by program participation

Promotion outcomes or decisions regarding professional advancement

Organizational restructuring decisions or their consequences

Regulatory investigations, audits, or proceedings involving any participant or organizational client

Any claim by a third party arising from a participant's application or implementation of program concepts, tools, or frameworks in their workplace

Our total aggregate liability to you for any claim arising out of or in connection with your use of this website or participation in the program shall not exceed the total amount paid by you for the program.
16. Changes to These Terms
We may update these Terms of Service from time to time. Changes will be posted on this page with an updated effective date. Your continued use of this website or program following the posting of changes constitutes your acceptance of the updated terms.
17. No Waiver
Our failure to enforce any provision of these Terms of Service on any occasion does not constitute a waiver of our right to enforce that provision in the future.
18. Governing Law and Jurisdiction
These Terms of Service are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. The parties consent to the exclusive jurisdiction of the courts of the Province of Ontario, sitting in the City of Toronto, for the resolution of any dispute arising out of or relating to these terms.
